  Pad2Pad.com® Agreement IMPORTANT: READ THIS FIRST. This Agreement is between yourself and ourselves, Pad2Pad.com, 31 Industrial Ave., Mahwah, NJ 07430 in the United States of America. This agreement deals with 1. Licensing the accompanying program (“software”) to you, and 2. Manufacturing and assembling of PCBs for you. Please read this Agreement carefully. It details the terms and conditions under which this Software may be installed and used, and for doing business with Pad2Pad.com. In return for your acceptance of this Agreement, Pad2Pad.com grants to you a nonexclusive license to install and use the Software. Section 1: Regarding Software 1.1 Use of Software This software is licensed to you for personal and commercial use. 1.2 Copying and Distributing of the Software You may install the Software on a hard disk or other storage device; install and use the Software on a file server for use on a network for the purposes of (i) permanent installation onto hard disks or other storage devices or (ii) use of the Software over such network; and make backup copies of the Software. You may make and distribute unlimited copies of the Software, as long as: (1) each copy that you make and distribute contains this Agreement, the Pad2Pad.com Program installer, and the same copyright and other proprietary notices pertaining to this Software that appear in the Software; and (2) you do not charge a purchase price for the Software; and (3) You do not alter the software in any way. 1.3 Copyright and Trademark Rights The Software is owned by Pad2Pad.com, and its structure, organization and code are the valuable trade secrets of Pad2Pad.com. The Software also is protected by the Copyright Law of the United States of America and International Treaty provisions. You may use trademarks only insofar as required to comply with Clause 1.1 of this Agreement and to identify printed output produced by the Software, in accordance with accepted trademark practice, including identification of trademark owner’s name. Such use of any trademark does not give you any rights of ownership in that trademark. Except as stated above, this Agreement does not grant you any intellectual property rights in the Software. 1.4 Other Restrictions You shall not: (1) modify, translate, reverse engineer, decompile, or disassemble the Software; or (2) utilize any computer hardware or software designed to defeat any hardware copy-protection device, should the software you have licensed be equipped with such protection; 1.5 No Warranty This Software is provided AS IS and no warranty is made as to its use or performance. Pad2Pad.com does not warrant that the Software will necessarily operate in any particular way, nor that it will be useful in any particular way, nor that it will be helpful in designing anything, nor that anything designed using it will necessarily be useful, safe, or serviceable in any way. Pad2Pad.com makes no warranties, express or implied, as to non infringement of third party rights, merchantability, or fitness for any particular purpose. In no event will Pad2Pad.com be liable to you for any consequential, incidental or special damages, including any lost profits or lost savings, even if Pad2Pad.com has been advised of the possibility of such damages, or for any claim by any third party. Specifically, it is agreed that the Software is not merchandise, that it has neither been offered for sale by Pad2Pad.com, nor purchased from Pad2Pad.com, and that no claims are made or warranties given that it is suitable for any given purpose. 1.6 Use of Software as a Design Aid Computer-aided design software and other technical software are tools intended to be used by qualified individuals. They are not substitutes for professional judgment. Computer-aided design software and other technical software are intended to assist with product design and are not substitutes for independent testing of product stress, safety, and utility. Due to the large variety of potential applications, the Software has not been tested in all situations under which it may be used. Accordingly, you are advised to give consideration to establishing your own procedures for testing the reliability and accuracy of any program output. Section 2: Placing Product Orders 2.1 Price quotations The Software will generate price estimates for PCBs. While these estimates are usually quite accurate and are rarely altered, for the purposes of this Agreement it is agreed that they are subject to adjustment by Pad2Pad.com after an order is placed. If the price is changed, you will be given the option to accept or cancel your order at the new price. Price changes are normally invoked only for unusual boards and when significant errors are found in the pricing software. 2.2 Delivery time quotations and pricing Delivery times quoted by the software are estimates only. While Pad2Pad.com makes every possible effort to deliver on time as requested, there are many factors that can delay delivery including (to mention but a few) machining complications, supplier delays, equipment malfunction, man power availability, labor disputes, embargoes, acts of God, government restrictions, riot, and carrier delays. Pad2Pad.com is to be held free of liability for damages of any kind resulting from delivery delays. 2.3 Prototypes If prototypes (samples) of a particular board are desired, a small test order should be placed. 2.4 Placement of Orders Placement of an order using this Software shall constitute an order to us, firstly, to test the suitability of your design(s) for our fabrication, and, secondly, to production of such boards as Pad2Pad.com may deem suitable for fabrication. The terms and conditions of this order shall be exclusively as specified within this Agreement, or as previously agreed between us in writing. 2.4 Canceling Orders Once placed, you may cancel an order only on condition that you make payment for any administrative charges, work completed, work in process, raw material ordered, unamortized tooling, engineering, handling, overhead, and/or production costs. These charges will be determined by Pad2Pad.com at the time of cancellation. 2.5 Declined Orders Sometimes it can happen that a board may prove technically or economically impracticable to fabricate as ordered. Pad2Pad.com reserves the right to decline fabrication of a board at its discretion. In the event of an order being declined, there will be no financial liabilities incurred. For example, Pad2Pad.com will not charge you for any work done or materials used, nor will Pad2Pad.com be liable for any inconvenience or losses incurred by you. If you order more than one board at one time, and we decline the production of one or more of those boards, any remaining boards will continue in production regardless of whether all the boards may be needed for a single project. If you need to cancel the supply of the remaining boards you will do so under the Cancellation terms herein. 2.6 Modifying Orders Once placed, you may only modify an order under terms similar to Order Cancellation, namely, that you will pay Pad2Pad.com for any losses incurred due to the modification. 2.7 Use and Safety In case if you didn’t use our design service, you acknowledge that the boards you order were not designed by Pad2Pad.com. Pad2Pad.com has no control over their use or misuse once they have been delivered to you. It is your responsibility to create a safe design and provide proper safety devices and equipment to safeguard the operator and nearby persons from harm for any particular use, operation, or setup, and to adequately conform to all Federal, State, and Local government safety standards, and all industry safety standards. Additionally it is your responsibility to fully inspect all received boards for defects in fabrication, accuracy, variation in material selection, defects in material uniformity or strength, and all other matters that could effect safety. 2.8 Assistance and Advice If Pad2Pad.com staff helps you create or modify a design, or offers suggestions or advice in any other way, such suggestions or advice are to be regarded as general suggestions only, and offered without responsibility for errors or omissions. It is your responsibility to carefully review the complete design, and you take any advice or suggestions offered at your own risk. 2.9 Confidentiality With similar diligence as our own internal confidential information, we agree to keep confidential your identity, contact, payment, and design information except that it may be necessary to provide design information to suppliers – such being done anonymously without your identity, contact, or payment information, and with non-essential drawing text comments (comments to user) removed. Further security is realized by the fact that the detailed function of boards is generally not evident out of context. Section 3: Product Shipment 3.1 Shipment Quantity When we fabricate boards, we aim to supply whatever quantity you order, plus or minus a certain amount to allow for fabrication errors and overages. This allowed variation is indicated by the Software. It is agreed that, provided that we ship a quantity that is within the range indicated by the software, your order will be satisfied. If, however, the actual quantity shipped is less than the minimum indicated by the Software, you will be charged in proportion to the quantity actually shipped. Thus, for example, if you were to order 100 boards for $100, the Software would then indicate a target supply range – for example, between 90 and 110. If, however, it ended up that we could only supply 80, you would be charged pro rata on 100 units, that is, $80. 3.2 Taxes You shall have responsibility for payment of any taxes, Custom duties or other imposts required under your local laws or by your local governmental authorities. 3.3 Import / Export If delivery is to be made outside the USA, you shall be responsible for obtaining and paying for any permits, licenses, or other governmental authorization(s) required, and you shall comply with all laws and regulations thereof. 3.4 Claims In all claims for shortages or errors, you must notify us within 15 days of receipt of shipment. Claims will not be honored on those boards further processed by you resulting in change of dimensions or characteristics. 3.5 Returns All returns must be accompanied by a Returned Material Authorization (RMA) number provided by us. 3.6 Remedies The entire liability of Pad2Pad.com and your exclusive remedy under the warranty provided herein will be to rework or redo boards, in our discretion, in accordance with this Agreement. 3.7 Late Charges For orders not prepaid, we will charge 1.5% per month late charges on balances past payment terms. If we find it necessary to pursue legal redress to collect payment, the cost of such pursuit will be indemnified by you, in addition to payment in full and interest thereupon. Section 4: The Fine Print 4.1 Limited Warranty Pad2Pad.com warrants that fabrication of boards will be in accordance with your specifications as output by the Software. You agree to inspect and report on any problems with items delivered within 15 days of delivery. If you fail to report any problems within this period, this shall be regarded as prima facie evidence that there were no problems. 4.2 Patents The boards you order are manufactured in accordance with your specifications and design. Accordingly, you shall defend and save harmless Pad2Pad.com from all damages, claims, actions, or suits based upon actual or alleged infringement of any patent registered in the U.S. or elsewhere. Indemnity shall include attorney’s fees and other costs in defending such claim. 4.3 Indemnification You agree to indemnify, hold harmless, and defend Pad2Pad.com from and against any and all claims, demands, liabilities, costs or lawsuits arising out of use of or in any way involving injury or accident occasioned by the fabricated boards. 4.4 Canadian Customers If you reside in Canada, you agree to the following: The parties hereto confirm that it is their wish that this Agreement, as well as other documents relating hereto, including Notices, have been and shall be written in the English language only. Les parties aux pr©sentes confirment leur volont© que cette Convention de mªme que tous les documents y compris tout avis qui s’y rattache, soient r©dig©s en langue anglaise. 4.5 Separability If any provision of this Agreement shall be deemed illegal or unenforceable, such illegality or unenforceability shall not affect the validity and enforceability of any other legal provisions hereof which together shall then be constructed as if such illegal and unenforceable provision or provisions had not been inserted herein, unless such illegality or unenforceability shall destroy the underlying business purpose of this Agreement. 4.6 Variation of Agreement This Agreement shall be the entire agreement between us for any order/s placed using this Software unless otherwise agreed between us in writing prior to placement of your order/s. 4.7 Resolution of Disputes Overall, the aim of this Agreement is to lay out conditions for doing fair, mutually-advantageous business … but disputes can sometimes arise. To ensure that any such disputes are resolved as quickly, harmoniously and as cost effectively as possible, you and Pad2Pad.com agree that any controversy or claim at law or equity that arises out of this Agreement or our services (“Claims”) shall be resolved in accordance with one of the subsections below, or as otherwise mutually agreed upon in writing by the parties. Before resorting to these alternatives, Pad2Pad.com strongly encourages you first to contact us directly to seek a resolution. We will consider any reasonable request to resolve the dispute through alternative dispute resolution procedures, such as negotiation or mediation, as an alternative to litigation. (1) Arbitration. For any Claim (excluding Claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, you or Pad2Pad.com may elect to resolve the dispute through binding arbitration conducted by telephone, on-line, and/or based solely upon written submissions where no in-person appearance is required. In such cases, the arbitration shall be administered by the American Arbitration Association or JAMS, in accordance with their applicable rules, or any other established ADR provider mutually agreed upon by the parties. Any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. (2) Court. Alternatively, any Claim may be adjudicated by a court of competent jurisdiction located in Bergen County in New Jersey in the United States of America, or where the defendant is located (in our case, Mahwah, New Jersey, and in your case, your home address or principal place of business). You and Pad2Pad.com agree to submit to the personal jurisdiction of the courts of New Jersey. (3) Alternative Dispute Resolution. Pad2Pad.com will consider use of other alternative forms of dispute resolution, such as binding arbitration to be held in New Jersey or another location mutually agreed upon by the parties. (4) Violations of this Sub-Section (4.7). All Claims (excluding requests for injunctive or equitable relief) between the parties must be resolved using the dispute resolution mechanism that is selected in accordance with this Section by the party first to assert a Claim, either through a court filing or commencement of arbitration. Should either party file an action contrary to this Sub-Section, the other party may recover attorneys’ fees and costs up to $1000.00, provided that the party seeking the award has notified the other party in writing of the improperly filed Claim, and the other party has failed to withdraw the Claim.
